These terms and conditions (hereinafter – the terms) apply to the website dovanukrautuve.lt and to the relationship between UAB Proliuks (hereinafter – the seller, we) and the person who uses the website, submits an enquiry or orders goods and services (hereinafter – the client, you).
The seller sells corporate gifts and provides branding and signage production services mainly to legal entities. By using the website or submitting an enquiry, you confirm that you have read these terms and will comply with them.
A separate written agreement may be concluded for a specific order. If the provisions of the agreement differ from these terms, the agreement prevails.
2. Definitions
- enquiry – your request to prepare a proposal, submitted via the website form, by e-mail or by phone;
- proposal – a document prepared by us stating the goods, quantities, branding method, prices and deadlines;
- order – a proposal confirmed by you in writing;
- design – a visualisation showing how your mark will look on a specific product;
- personalised goods – goods produced or branded according to your individual instructions (logo, text, colour, packaging or composition).
3. Website content and prices
The product catalogue on the website is for information purposes and is not considered a public offer. Product photos are illustrative; the actual colour, texture or packaging of a product may differ slightly due to screen settings and differences between manufacturers’ batches.
For some products no price is shown or only an indicative price is shown, because the final price depends on the quantity, branding method, number of colours, packaging and delivery. The final price is always stated in an individual proposal.
Stock levels and the range change, so we do not guarantee the availability of a listed product until we reserve it under a confirmed order.
4. Enquiry, proposal and order
An order is placed in the following steps:
- you submit an enquiry via the website form, by e-mail or by phone;
- we contact you and clarify the recipients, quantities, budget and deadline;
- we prepare a proposal with specific goods, prices and deadlines;
- once you confirm the proposal in writing, a purchase and sale agreement is considered concluded;
- we agree the design, produce, brand and deliver the goods.
The basket on the website and the submission of an enquiry do not constitute a paid order. They are a tool for collecting the goods you want and for preparing a proposal, so no payment is made on the website.
The proposal is valid for the period stated in it. After it expires, prices and the availability of goods may change.
A confirmed order may be changed or cancelled only in writing and only until production, branding or ordering of goods from the supplier has started. If work has already started, you reimburse the costs actually incurred.
5. Prices and payment
Prices in proposals are stated in euros. Unless stated otherwise, prices are given without value added tax, which is added in accordance with the law.
Payment is made by bank transfer against the invoice issued. The payment term and procedure are stated in the proposal or the invoice. Advance payment or a deposit may apply to individual, personalised or large-volume orders.
If an invoice is not paid on time, we have the right to suspend work and delivery and to charge the late payment interest provided for by law or the agreement for the period of delay.
Title to the goods passes to you upon full payment, unless the agreement states otherwise.
6. Designs and personalisation
Before production we provide a design for approval. We start production only after receiving your written approval of the design.
By approving the design you confirm that the texts, the shape of the mark, the colours and the layout are correct. The client is responsible for errors remaining in the design approved by the client.
Please note that:
- colours look different on different materials, so slight deviations in shade from the design seen on screen are possible;
- we choose the branding method (engraving, printing, embroidery, embossing) according to the product and quantity, and technical capabilities may limit the level of detail of the mark;
- when producing personalised goods, a small deviation in quantity is possible, which is agreed in the proposal;
- at your request we can produce a paid sample before the full run.
7. Production and delivery deadlines
The deadline is stated in the proposal and starts running from the latest of the following events: confirmation of the order, approval of the design or receipt of the deposit.
The deadlines stated are planned deadlines. We inform you immediately of any delay caused by suppliers, transport or other reasons beyond our control and offer a solution.
If a specific date is important to you, state it in your enquiry. In that case, we confirm the date in the proposal.
8. Delivery and acceptance of goods
We deliver the goods to the address you specify in Lithuania or, by agreement, to several addresses. The delivery price is stated in the proposal.
When accepting the shipment, check the condition of the packaging and the quantity of goods. If you notice any damage, note it in the courier’s document and inform us the same day.
The risk of loss of or damage to the goods passes to you when the goods are handed over to you or to the person you have designated.
9. Quality and complaints
We sell high-quality goods and are responsible for their conformity with the proposal and the approved design.
Submit complaints about quantity or visible defects in writing within 5 working days of receiving the goods, and about hidden defects immediately after noticing them. Attach photos and the invoice number to the complaint.
We resolve a justified complaint in the way agreed by the parties: we replace the goods, remedy the defects or refund part of the price.
The seller is not liable for defects caused by improper use, storage, unauthorised repair or natural wear and tear.
10. Returns and exchanges
Personalised goods are produced according to your individual instructions, so personalised goods of proper quality cannot be returned or exchanged.
The possibility and period for returning unbranded standard goods are agreed individually. Returned goods must be unused, must not have lost their marketable appearance and must be in their original packaging.
If the goods are purchased by a consumer, i.e. a natural person for their personal needs, consumer rights under the laws of the Republic of Lithuania apply, including the right to withdraw from a distance contract within 14 days. This right does not apply to goods made to individual order or clearly personalised.
11. Intellectual property
By providing a logo, trademark, text, or other material, you confirm that you have the right to use it and to pass it to us for fulfilling the order, and that it does not infringe the rights of third parties. The client is responsible for any infringement of such rights.
We use the material you provide only to fulfil your order. We may use photos of the finished work in our portfolio or marketing only with your consent.
The content of the website, including texts, photos and design, is protected by copyright. Copying it or using it for commercial purposes without written permission is prohibited.
12. Liability and force majeure
Each party is liable for non-performance of its obligations in accordance with the law. The seller’s liability is limited to the value of the specific order, unless the law provides otherwise.
We are not liable for indirect losses, lost income or damage caused by incorrect information provided by you or by late approval of the design.
The parties are not liable for non-performance of obligations caused by force majeure circumstances. We inform the other party of such circumstances immediately.
13. Personal data
We process personal data as described in the privacy policy. The use of cookies is explained in the cookie policy.
14. Governing law and disputes
These terms and agreements are governed by the law of the Republic of Lithuania.
We first seek to resolve disagreements by negotiation. Submit a request or complaint by e-mail to info@dovanukrautuve.lt, and we will respond within 14 days.
If no agreement is reached, the dispute is resolved in the courts of the Republic of Lithuania according to the seller’s registered office. A consumer may also apply to the State Consumer Rights Protection Authority or use the European Commission’s online dispute resolution platform.
15. Final provisions
We may update the terms when our services or the law change. The version of the terms in force on the day the order is confirmed applies to that order. The latest version is always published on this page.
If any provision of the terms becomes invalid, the other provisions remain in force.
